Terms of Service

These Terms of Service ("Terms") govern access to and use of the website at iddguardian.com and the IDD Guardian software and services (together, the "Service") provided by IDD Guardian LLC ("IDD Guardian," "we," "us," or "our"). By accessing the Site or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to do so.

1. The Service

IDD Guardian provides practice-management software for IDD service providers. Access to the Service by customer agencies is governed by a separate written subscription agreement; where that agreement conflicts with these Terms, the subscription agreement controls for that customer.

2. Accounts and access

Access to the Service is provided to authorized users of customer agencies. You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to misuse the Service — including by attempting to access data you are not authorized to access, disrupting or compromising the integrity or security of the Service, reverse-engineering it, or using it in violation of applicable law or the rights of others.

4. Customer data and HIPAA

As between the parties, customer agencies own the data they submit to the Service. Where the Service processes protected health information, IDD Guardian acts as a business associate under a Business Associate Agreement and processes that information only as permitted by that agreement and applicable law. We use appropriate safeguards to protect customer data as described in our Privacy Policy.

5. Intellectual property

The Service, including its software, design, and content (excluding customer data), is owned by IDD Guardian LLC and protected by intellectual-property laws. These Terms grant no right to use our names, logos, or trademarks without our prior written permission.

6. Third-party services

The Service may integrate with third-party services (for example, state visit-verification systems). Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

7. Disclaimers

The Site is provided "as is" without warranties of any kind, to the fullest extent permitted by law. Warranties and service commitments applicable to a customer's use of the Service are set out in that customer's subscription agreement.

8. Limitation of liability

To the fullest extent permitted by law, IDD Guardian will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising out of or relating to your use of the Site. Liability arising from the Service is addressed in the applicable subscription agreement.

9. Termination

We may suspend or terminate access to the Site or Service if these Terms or an applicable agreement are violated, or as needed to protect the Service or other users.

10. Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
